Key dates in relation to to Emerald Communications (ECC) proposal to acquire all of the issued shares in ERC.
11.00am on 13 December 2009
Last date and time by which proxy forms for the Meetings must be received by the Registry – please carefully read the instructions in relation to the completion of proxies set out in this Scheme Booklet and on the proxy forms for the Annual General Meeting and the Scheme Meeting. If the Registry does not receive your proxy forms by 11.00am on 13 December 2009 and you wish to vote on the resolutions to be proposed at the Annual General Meeting and the Scheme Meeting, including the Capital Reduction Resolution and the Scheme Resolution, you will need to attend the Meetings and vote in person.
7.00pm on 13 December 2009
Date and time for determining eligibility to vote at the Meetings – if you are registered as an ERC Shareholder at 7.00pm on 13 December 2009, you will be entitled to attend the Meetings and vote on the Scheme Resolution and the Capital Reduction Resolution that must be passed in order to allow the Proposal to be implemented.
11.00am on 15 December 2009
Meetings – the Scheme Meeting and the Annual General Meeting will be held at the Auditorium, Museum of Sydney, Corner Bridge and Phillip Streets, Sydney. The Annual General Meeting will immediately follow the conclusion or adjournment of the Scheme Meeting which has been convened for 11.00am on 15 December 2009. If for any reason the Scheme Meeting is not held on 15 December 2009, the Annual General Meeting will commence at 11.00am on 15 December 2009.
IF ERC SHAREHOLDERS APPROVE THE PROPOSAL AT THE MEETINGS

Court hearing for approval of Scheme (Court Approval Date) – the Court will consider whether to approve the Scheme
17 December 2009
Effective Date – this is the date on which the Scheme comes into effect and is binding on ERC Shareholders. ERC Shares will cease trading at the close of trading on ASX on the Effective Date.
24 December 2009
Record Date – all ERC Shareholders who hold ERC Shares on the Record Date will be entitled to receive the Scheme Consideration and the Capital Reduction Amount.
4 January 2010
Implementation Date – all Scheme Participants will be sent the Scheme Consideration to which they are entitled on this date together with the Capital Reduction Amount.
All dates following the date of the Meetings are indicative only and are subject to the Court approval process, ASX approval and the satisfaction or, where applicable, waiver of the conditions precedent to the implementation of the Proposal (see Section 3.13). Any changes to the above timetable will be announced to ASX and notified on ERC’s website.
